Terms and Conditions for SolidOps
1. Acceptance of Terms
By accessing or using SolidOps (the "Service"), you agree to be bound by these Terms and Conditions ("Terms"). The Service is owned and operated by Rx Tech UK LTD ("we", "us", or "our"). If you do not agree to these Terms, you may not use the Service.
2. Description of Service
SolidOps is a SaaS (Software as a Service) platform providing an all-in-one monitoring and backup solution for developers and small teams. It includes uptime & server monitors, event tracking, and automated database backups.
3. User Accounts
You must create an account to use SolidOps. You are responsible for maintaining the confidentiality and security of your account information and for all activities that occur under your account. You must immediately notify us of any unauthorized use of your account or any other breaches of security.
4. Subscription and Payments
4.1. SolidOps operates on a monthly subscription basis. Payments are due at the beginning of each billing cycle.
4.2. By selecting a paid plan, you agree to pay us the subscription fees indicated for that service. Payments will be charged on a pre-paid basis on the day you sign up and will cover the use of that service for the subscription period indicated.
4.3. Unless you cancel your subscription before the end of the applicable subscription period that you want to cancel, your subscription will automatically renew. You authorize us to collect the then-applicable subscription fee (as well as any taxes) using any payment mechanism we have on record for you.
4.4. We reserve the right to change our fees upon notice. Continued use of the Service after a fee change constitutes acceptance of the new fees.
5. Cancellation and Refunds
5.1. You may cancel your subscription at any time. Cancellation will be effective at the end of the current billing cycle.
5.2. We do not provide refunds for unused portions of a subscription period.
5.3. Upon cancellation, you will continue to have access to the Service through the end of your current billing period.
5.4 We offer a 14-day, no-questions-asked refund policy for SolidOps for your initial subscription. If you're not satisfied with our service for any reason, you can cancel your subscription within 14 days of your initial purchase and receive a full refund.
5.5 Refunds are only available for first-time purchases.
5.6 After the 14-day period, refunds are not provided for partial months.
5.7 We reserve the right to deny refunds in cases of excessive or abusive claims.
6. Acceptable Use
6.1. You agree to use the Service only for lawful purposes and in accordance with these Terms.
6.2. You may not use the Service:
a) In any way that violates any applicable law or regulation.
b) To transmit, or procure the sending of, any advertising or promotional material, including any "junk mail", "chain letter," "spam," or any other similar solicitation.
c) To impersonate or attempt to impersonate SolidOps, a SolidOps employee, another user, or any other person or entity.
d) In any way that could disable, overburden, damage, or impair the Service or interfere with any other party's use of the Service.
7. Intellectual Property Rights
The Service and its entire contents, features, and functionality are owned by us, our licensors, or other providers of such material and are protected by United Kingdom and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.
8. Disclaimer of Warranties
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
9. Limitation of Liability
IN NO EVENT WILL WE, OUR AFFILIATES, OR OUR LICENSORS BE LIABLE FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE, OR INABILITY TO USE, THE SERVICE, INCLUDING ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.
10. Indemnification
You agree to defend, indemnify, and hold harmless us, our affiliates, licensors, and service providers, and our and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Service.
11. Changes to Terms
We may revise and update these Terms from time to time in our sole discretion. All changes are effective immediately when we post them. Your continued use of the Service following the posting of revised Terms means that you accept and agree to the changes.
12. Dispute Resolution
Any dispute arising from these Terms will be governed by and construed in accordance with the laws of the United Kingdom. Any legal suit, action, or proceeding arising out of, or related to, these Terms or the Service shall be instituted exclusively in the courts of the United Kingdom.
13. Termination
We may terminate or suspend your account and bar access to the Service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms. Upon termination, your right to use the Service will immediately cease.
14. Entire Agreement
These Terms constitute the entire agreement between you and us regarding the Service and supersede all prior agreements and understandings, whether written or oral, regarding the Service.
